Terms of Use

Introduction

These Terms of Use ("Terms") are offered to you by BLANKSPACE LABS INC. and its affiliates ("Reef") and govern your use as a visitor to https://Reef.com and/or other websites (including the Reef mobile application, any social media sites, mobile webpages and application store pages) managed by Reef that reference the Terms (the "Reef Sites").

Please read these Terms carefully. By using, accessing and/or visiting the Reef Sites, you accept and agree to these Terms. If you do not accept and agree to the Terms, you should immediately stop using, accessing and/or visiting the Reef Sites.

Please also carefully read Reef's Privacy Policy. By agreeing to these Terms, you also agree to and accept our Privacy Policy.

Modifications

We may revise these Terms at any time by amending this page. You are expected to check this page from time to time to take notice of any changes Reef has made, as they are binding on you. Some of the provisions contained in these Terms may also be superseded by provisions or notices published elsewhere on the Reef Sites. Your continued access and/or use of the Reef Sites following any amendments to these terms will constitute your acceptance of those changes.

Access and use of the Reef Sites

You may access and use the Reef Sites only for lawful purposes. You agree that you will not use the Reef Sites:

  1. in any way that breaches any applicable law, regulation or code of practice;
  2. in any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect;
  3. for the purpose of harming or attempting to harm minors in any way;
  4. to send, knowingly receive, upload, download, use or re-use any material which:
    • is defamatory, obscene, hateful, discriminatory or inflammatory;
    • promotes violence, discrimination or illegal activity; or
    • infringes any intellectual property rights, right of confidentiality or right to privacy.
  5. to transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation (spam);
  6. to generate and/or cause congestion to our network traffic in excess of reasonable and normal usage;
  7. to cause any disruption, interference, interruption or degradation in our network and/or the Reef Sites; or
  8. to knowingly transmit any data, send or upload any material that contains any viruses, trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other technologically harmful programs, data or code.

Intellectual property rights

The content available on the Reef Sites may not be reproduced, transmitted, published, performed, broadcast, stored, adapted, distributed, displayed, licensed, altered, hyperlinked or otherwise used in whole or in part in any manner without the prior written consent of Reef. You may not, without the prior written consent of Reef, insert a hyperlink to the Reef Sites (or any part thereof) on any other platform or "mirror" or frame any content available on the Reef Sites on any other server or platform.

All trademarks, service marks and logos used on the Reef Sites are the property of Reef and/or the respective third party proprietors identified on the Reef Sites. No licence or right is granted and your access to the Reef Sites and/or use of the services available thereon should not be construed as granting, by implication, estoppel or otherwise, any license or right to use any trade marks, service marks or logos appearing on the Reef Sites without the prior written consent of Reef or the relevant third party proprietor thereof.

Use of personal data

Whenever you submit information about yourself via the Reef Sites, you unambiguously consent to the collection, use, and disclosure of that information in accordance with Reef's Privacy Policy.

Disclaimer

Your use of the Reef Sites and all content thereon is and shall be at your sole risk. The Reef Sites and all contents thereon are provided "as is" and without express or implied warranty of any kind. To the maximum extent permitted by law, Reef and their respective officers, directors, employees and agents disclaim all warranties, express or implied, with respect to the Reef Sites, all contents thereon, and support services, including but not limited to all implied warranties of merchantability, fitness for a particular purpose, non-infringement and title.

Reef makes no warranty as to the accuracy or completeness of the contents of the Reef Sites or of sites linked to the Reef Sites, and does not endorse or assume responsibility for any product or service advertised by a third party through the Reef Sites or any hyperlinked websites. Reef assumes no liability or responsibility for any bugs, viruses, or other malware that may be transmitted to or through the Reef Sites, for any errors, mistakes or inaccuracies in content, or for any loss or damage incurred that results from the use of any content made available in any way through the Reef Sites.

Governing law and jurisdiction

You agree that the laws of Singapore, without regard to principles of conflict of laws, shall govern both these Terms and any dispute that might arise between you and Reef in relation to your use of the Reef Sites and these Terms.

You also agree that any disputes shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the Arbitration Rules of the Singapore International Arbitration Centre ("SIAC Rules") for the time being in force, which rules are deemed to be incorporated by reference in this clause. The seat of the arbitration shall be Singapore. The Tribunal shall consist of one arbitrator. The language of the arbitration shall be English. To the fullest extent permitted by applicable law, no arbitration under these Terms shall be joined to an arbitration involving any other party subject to these Terms, whether through class arbitration proceedings or otherwise.

Entire agreement

These Terms and other legal notices published by Reef on the Reef Sites applicable to an activity you engage in shall constitute the entire agreement between you and Reef concerning the Reef Sites.

Severability

In the event that any of the provisions of these Terms shall be deemed invalid, void, or for any reason unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of any of the remaining provisions of these Terms, which shall continue in full force and effect.

No waiver

No waiver shall be deemed a further or continuing waiver, and Reef's failure to assert any right under these Terms shall not constitute a waiver of such right. You agree that any cause of action arising out of or relating to the Reef Sites must commence within one (1) year after the cause of action arises, and otherwise is permanently barred.

Assignment

You may not assign or transfer these Terms, but Reef may assign these Terms without restriction.

Indemnification

You agree to indemnify, defend and hold Reef, its affiliates, officers, directors, employees and agents harmless from and against any loss, cost, damages, liability and expense arising out of or relating to your use of the Reef Sites and/or any action by you which violates any law, regulation or rights of a third party.

Links to third party websites

The Reef Sites may contain links to third-party websites. You acknowledge and agree that Reef does not control such websites and is not responsible for their contents or policies and that the links are provided for convenience and do not represent an endorsement by Reef of the third-party websites. If you access such websites via the links, you do so at your own risk.

Termination

Without prior notice, Reef may terminate your access to the Reef Sites and/or your user account if you violate or breach these Terms or for any other reason, including Reef's discontinuance of the Reef Sites.
